Honestly, I think it's really simple. Kubiak would not give up the kind (and amount) of control that Manning demands.
All the other details do not matter if the head coach is against the decision.
That plus being content with Schaub. Kubiak has always been loyal to a fault, and I think sticking with Schaub, and giving big contracts to Foster and Myers were more important than even entertaining the thought of Manning. Foster was still an Exclusive Rights Free Agent, and really had no business being given a 40m dollar deal, but Rick promised to take care of him, so they did. Made his cap figure go from about 500k to 7m that year.
The Texans only needed to cut Schaub and not give a big contract to either Foster or Myers in order to make a competitive offer for Peyton. No we could not go as high as 20m a year as the Broncos did, but we could have been in the 16-18 range.
